1. Agreement to Terms

By accessing or using AgencyTerminal, operated by Galileo Holdings LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

2. Description of Service

AgencyTerminal is a SaaS platform that provides AI-powered quote generation, invoicing, payment processing facilitation, project management, and business tools for creative agencies and freelancers. AgencyTerminal acts solely as a software tool and platform provider — it is not a payment processor, financial institution, or party to any transaction between users and their clients.

3. Account Registration

  • You must be at least 18 years old to use this service
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account
  • You are responsible for all activities that occur under your account

4. Subscription and Payment (Platform Fees)

The following terms govern your subscription to AgencyTerminal as a platform:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All subscription payments are processed securely through Stripe
  • You may cancel your subscription at any time
  • Refunds are provided at our discretion
  • We reserve the right to modify pricing with 30 days notice

5. Payment Processing & Merchant Services

AgencyTerminal provides invoicing and payment collection tools that allow you to invoice and collect payments from your own clients. By using these features, you acknowledge and agree to the following:

a. You Are the Merchant of Record

You, not Galileo Holdings LLC or AgencyTerminal, are the merchant of record for all transactions conducted through your account. You are solely responsible for your clients, your invoices, the goods or services you provide, and all associated legal and tax obligations.

b. Stripe Connect

Payment processing services for merchants on AgencyTerminal are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms and enabling payment features, you agree to be bound by the Stripe Services Agreement, as it may be modified from time to time. As a condition of AgencyTerminal enabling Stripe payment processing services, you authorize us to share information about you and your use of the payment services with Stripe. c. Accuracy of Invoices

You are solely responsible for the accuracy, legality, and completeness of all invoices and payment requests you create and send through the platform. AgencyTerminal does not review, verify, or approve your invoices.

d. Legal and Tax Compliance

You are solely responsible for complying with all applicable local, state, federal, and international laws and regulations in connection with your invoicing and payment activities, including but not limited to laws governing business licensing, sales tax, VAT, and other tax collection and remittance obligations. AgencyTerminal does not provide legal, tax, or accounting advice.

e. Stripe Fees and Platform Fees

Payment processing is subject to fees charged by Stripe. AgencyTerminal may also charge a platform fee on transactions, which will be disclosed at the time you enable payment features. By using payment features you agree to these fees.

f. Prohibited Use of Payment Features

You may not use the invoicing or payment features to collect payment for illegal goods or services, to engage in fraud or deception, or in violation of Stripe's Acceptable Use Policy.

6. Chargebacks, Disputes, and Refunds

All disputes and chargebacks related to transactions between you and your clients are solely between you, your clients, and Stripe. Galileo Holdings LLC has no obligation to intervene in, mediate, or resolve any such disputes. You acknowledge that:

  • Chargebacks and payment disputes are governed by Stripe's policies and the applicable card network rules
  • You are financially responsible for any chargebacks, reversals, fines, or penalties arising from your transactions
  • AgencyTerminal is not liable for payment failures, failed transfers, frozen funds, or account holds imposed by Stripe
  • Refunds to your clients are your sole responsibility and must be managed by you through the platform or Stripe's dashboard

7. Indemnification

You agree to indemnify, defend, and hold harmless Galileo Holdings LLC, its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the invoicing and payment features
  • Any transaction between you and your clients
  • Your violation of any applicable law or regulation, including tax laws
  • Your violation of these Terms of Service
  • Any dispute between you and a client, including chargebacks or claims of non-delivery
  • Any content, invoices, or communications you create or send using the platform
  • Your violation of any third-party rights

8. Free Trial

New accounts receive a 7-day free trial with full access to features. No credit card is required during the trial period. After the trial ends, you must subscribe to continue using the service.

9. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the service
  • Upload malicious code or content
  • Use the payment features to process transactions for prohibited goods or services under Stripe's Acceptable Use Policy

10. AI-Generated Content & Document Creation

a. Not a Law Firm; No Legal Advice

Galileo Holdings LLC is not a law firm, does not practice law, and does not provide legal, tax, or financial advice. AgencyTerminal is a software tool that assists you in creating business documents such as proposals, contracts, and scopes of work. No document generated by the platform constitutes legal advice or a legal opinion. You should always have your own attorney or qualified legal professional review any contract, proposal, or agreement before sending it to a client or counterparty.

b. AI-Assisted Drafts

Certain features of AgencyTerminal use artificial intelligence to generate or assist in generating text, including but not limited to scope of work descriptions, project deliverables, line item descriptions, contract terms, and other document content. All AI-generated output is provided as a draft starting point only and may contain errors, omissions, inaccuracies, or language that is not appropriate for your specific situation, jurisdiction, or legal requirements.

c. User Responsibility to Review and Approve

You are solely responsible for reviewing, editing, and approving all content in any proposal, contract, or document before sending, sharing, or otherwise distributing it. AgencyTerminal does not review, verify, or approve any document content on your behalf. By sending or sharing any document generated through the platform, you represent that you have reviewed and approved its contents.

d. No Liability for Generated Content

Galileo Holdings LLC shall not be liable for any claims, damages, losses, or liabilities arising from the content of any proposal, contract, scope of work, or other document you create, modify, or distribute using the platform, including but not limited to claims arising from inaccurate descriptions, incomplete terms, unenforceable provisions, or any reliance by you or any third party on AI-generated content.

e. Client Data You Input

You are solely responsible for the accuracy, legality, and appropriate handling of any client personal information, business data, or other third-party data you enter into the platform. AgencyTerminal provides tools to help you create and share documents, but you are the data controller for your clients' information. You are responsible for obtaining any necessary consents, complying with applicable data protection laws, and ensuring that sharing documents via public links or email does not violate your obligations to your clients.

11. Intellectual Property

The AgencyTerminal service, including its design, features, and content, is owned by Galileo Holdings LLC. You retain ownership of any content you create using the service.

12. Data and Privacy

Your use of the service is also governed by our Privacy Policy. We do not sell your data or use it for purposes other than providing and improving our service.

13. Data Storage, Backup, and Loss

AgencyTerminal stores data you create on the platform, including quotes, invoices, client records, and project information. By using the service, you acknowledge and agree to the following:

a. No Backup Guarantee

While we take reasonable measures to maintain data integrity and availability, we do not guarantee that your data will never be lost, corrupted, or become inaccessible. You are solely responsible for maintaining your own backups and copies of any data you consider critical to your business operations.

b. Export Responsibility

AgencyTerminal provides data export tools. It is your responsibility to use those tools to maintain independent copies of your data. Galileo Holdings LLC is not responsible for any failure to export data or for any data that becomes irretrievable.

c. Third-Party Infrastructure

Data storage and hosting services are provided by third parties, including Supabase. Any data loss, corruption, or service interruption caused by these third-party providers is outside our direct control. We are not liable for any damages resulting from failures, outages, or data loss attributable to third-party infrastructure providers.

d. No Liability for Data Loss

Galileo Holdings LLC shall not be liable for any loss of data, loss of business records, loss of revenue, or any other direct or indirect damages arising from data loss, data corruption, accidental deletion, service outages, or any other cause, whether or not we were advised of the possibility of such loss.

e. Service Interruptions

We do not guarantee uninterrupted access to your data. Scheduled maintenance, unexpected outages, or third-party service failures may temporarily prevent access to your data. We will make reasonable efforts to restore service promptly but make no guarantees regarding uptime or recovery time.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALILEO HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM PAYMENT PROCESSING FAILURES, CHARGEBACKS, CLIENT DISPUTES, TAX LIABILITIES, ANY TRANSACTIONS CONDUCTED THROUGH YOUR ACCOUNT, LOSS OF DATA, DATA CORRUPTION, DATA INACCESSIBILITY, SERVICE OUTAGES, FAILURE OF THIRD-PARTY INFRASTRUCTURE, INACCURATE OR INCOMPLETE AI-GENERATED CONTENT, THE ENFORCEABILITY OR LEGAL EFFECT OF ANY PROPOSAL OR CONTRACT CREATED USING THE PLATFORM, OR ANY THIRD-PARTY RELIANCE ON DOCUMENTS YOU CREATE OR DISTRIBUTE.

IN NO EVENT SHALL GALILEO HOLDINGS LLC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AGENCYTERMINAL IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTY THAT THE PLATFORM WILL MEET YOUR LEGAL, REGULATORY, OR COMPLIANCE REQUIREMENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR LEGAL SUFFICIENCY OF ANY AI-GENERATED CONTENT, PROPOSALS, CONTRACTS, OR OTHER DOCUMENTS PRODUCED BY THE PLATFORM. WE MAKE NO WARRANTY REGARDING THE CONTINUED AVAILABILITY, INTEGRITY, OR RECOVERABILITY OF ANY DATA YOU STORE ON THE PLATFORM. YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE IS APPROPRIATE FOR YOUR USE CASE, FOR REVIEWING ALL GENERATED CONTENT BEFORE USE, AND FOR MAINTAINING YOUR OWN DATA BACKUPS.

16. Termination

We may terminate or suspend your account at any time for violation of these terms. Upon termination, your right to use the service will immediately cease. You may export your data before termination. We strongly recommend exporting your data regularly and prior to any account cancellation, as we cannot guarantee data recovery after account closure.

17. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.

18. Governing Law

These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida.
